Bloomberg reported on the 16th that SpaceX has reached a definitive agreement to acquire AI coding startup Cursor, with the deal valued at $600 billion (equivalent to approximately 4063.15 billion yuan under current exchange rates). The acquisition fills a critical gap in Elon Musk’s push to catch up with rivals in the coding tool sector.
According to an 8-K filing submitted by SpaceX, Cursor’s investors will receive SpaceX stock corresponding to Cursor’s implied equity value of $600 billion. The merger is expected to close in the third quarter of 2026.
SpaceX first disclosed back in April this year that it had secured the right to purchase Cursor later in the year, yet the transaction was put on hold as SpaceX prepared for its IPO at that time.
xAI, SpaceX’s AI subsidiary, is currently ramping up its AI coding capabilities. Musk has openly acknowledged that xAI lags far behind competitors in coding tools. To close the gap with players such as Anthropic and OpenAI, xAI has been poaching engineers from Cursor prior to the deal.
Cursor launched its AI coding assistant in 2023 to help programmers write and debug code with higher efficiency. Amid skyrocketing demand for AI coding tools among software developers, Cursor has emerged as one of the fastest-growing startups and a central player in the tech industry’s era of AI-augmented coding.
Before SpaceX signaled its acquisition interest, Cursor was in talks with investors for a new funding round, planning to raise roughly $20 billion at a pre-money valuation exceeding $500 billion (around 3385.95 billion yuan and 135.44 billion yuan respectively at current exchange rates). The startup later scrapped the fundraising plan, and xAI will take over all its future computing power needs.
Musk’s heavy spending on AI has imposed substantial financial pressure on SpaceX. Having retroactively assumed xAI’s investment liabilities, SpaceX posted a net loss of $49.4 billion last year (about 334.53 billion yuan). To fund Musk’s various initiatives, SpaceX nearly doubled its capital expenditure to $207 billion last year, with AI accounting for its single largest cost category.
